The terms and conditions that govern your use of Boardy.

These Terms of Service ("Terms") govern your use of Boardy, the world's first social AI designed to facilitate meaningful introductions. By sharing your contact information and using Boardy, you agree to these Terms.

Definitions

• Service: The Boardy platform and its functionalities, including facilitating introductions, interactions, and AI phone calls.
• User: An individual who has shared their phone number or email address with Boardy through LinkedIn messaging and completed an AI phone call with Boardy.
• Partner: Organizations that agree to work with Boardy to provide services within their network and share opted-in users with Boardy's global network.
• Profile Information: Information from your public LinkedIn profile that is used to facilitate introductions.
• Personal Data: Any information relating to an identified or identifiable natural person, as defined by the General Data Protection Regulation (GDPR).
• Data Controller: Boardy, as the entity that determines the purposes and means of processing personal data.

Eligibility

You must be at least 18 years of age to use the Service. By using Boardy, you represent and warrant that you are at least 18 years old. If you are under 18 years of age, you may not use or access the Service under any circumstances. Boardy reserves the right to request proof of age from any user and to terminate or suspend accounts of users who are found to be under 18 years of age.

Registration and Service Access

The registration process for Boardy occurs in the following steps:

Initial Contact

• You message the Boardy WhatsApp business account or company page on LinkedIn.
• Boardy requests a combination of your full name, email address, phone number, and LinkedIn profile URL.
• You provide this contact information to Boardy.

Phone Call and Terms Acceptance

After receiving your contact information, Boardy will initiate an AI-powered phone call. By participating in this phone call, you:

• Accept these Terms of Service.
• Authorize Boardy to access and use your public LinkedIn profile information.
• Agree to be added to Boardy's matching pool.
• Understand that your LinkedIn profile information will be shared with potential matches.

You are not considered a User of the Service, and these Terms do not take effect, until you complete the phone call with Boardy. Prior to completing the phone call, no matching or introduction services will be provided.

Marketing Communications Opt-In

By providing your email address and phone number through LinkedIn messaging, you consent to receive marketing emails and SMS text messages from Boardy. These messages may include updates about new features, events, partnership opportunities, or personalized recommendations. You can opt out at any time by using the unsubscribe link in emails or replying with STOP to text messages.

By signing up for the service, you are also enrolled in Boardy's podcast, Substack, and other newsletter-based media content, which you may unsubscribe from at any time.

Data Protection and GDPR Compliance

Legal Basis for Processing

Boardy processes your personal data under the following legal bases:

• Consent (Article 6(1)(a) GDPR): Marketing communications (email and SMS), sharing contact information with matches after double opt-in, and newsletter subscriptions.
• Contract Performance (Article 6(1)(b) GDPR): Processing necessary to provide introduction and matching services, and maintaining user profiles for service delivery.
• Legitimate Interests (Article 6(1)(f) GDPR): Service improvement and analytics, platform security and abuse prevention, and customer support.
• Legal Obligation (Article 6(1)(c) GDPR): Compliance with applicable laws and regulations.

Your Data Protection Rights

Under GDPR, you have the following rights:

• Right of Access (Article 15): You can request information about what personal data we process and obtain a copy of your personal data.
• Right of Rectification (Article 16): You can request correction of inaccurate personal data.
• Right of Erasure (Article 17): You can request deletion of your personal data in certain circumstances.
• Right to Restrict Processing (Article 18): You can request that we limit how we use your personal data in certain situations.
• Right to Data Portability (Article 20): You can request your personal data in a structured, machine-readable format.
• Right to Object (Article 21): You can object to processing based on legitimate interests or for direct marketing purposes.
• Rights Related to Automated Decision-Making (Article 22): You have rights regarding automated decision-making, including AI-powered matching.

To exercise these rights, contact us at privacy@boardy.ai with your request. We will respond within one month of receiving a valid request.

Data Retention

We retain personal data for the following periods:

• Profile and matching data: Retained while your account is active and for 2 years after account deletion.
• Communication records: Retained for 3 years for service improvement and support.
• Marketing data: Retained until you opt out, then deleted within 30 days.
• Legal compliance data: Retained as required by applicable law.

Consent Withdrawal

You may withdraw your consent at any time by:

• Marketing communications: Using unsubscribe links or replying STOP to SMS.
• Profile matching: Contacting privacy@boardy.ai to remove your profile.
• All processing: Requesting account deletion via privacy@boardy.ai.

Withdrawal of consent does not affect the lawfulness of processing based on consent before withdrawal.

Data Breach Notification

In the event of a personal data breach that poses a high risk to your rights and freedoms, we will notify you without undue delay and provide information about:

• The nature of the breach.
• Likely consequences.
• Measures taken or proposed to address the breach.

Digital Advertising and Data Usage

By using Boardy's services, you acknowledge and consent to the following data usage practices:

• Social Media Advertising: Boardy may use your contact information (email addresses and phone numbers) in hashed or encrypted formats to create custom audiences on social media platforms, including Meta, for targeted advertising and retargeting purposes.
• Conversion Tracking: We use tracking technologies, including Meta Pixel and similar tools, to measure the effectiveness of our advertising campaigns and understand user behavior across platforms.
• Lookalike Audiences: Your profile information may be used to help create audiences of users with similar characteristics for advertising and user acquisition purposes.
• Cross-Platform Tracking: Information about your interactions with Boardy may be shared with advertising platforms to deliver relevant advertisements to you on social media and other websites.

You may opt out of targeted advertising by adjusting your preferences on the respective social media platforms or by contacting us at legal@boardy.ai.

User Conduct

Users are expected to maintain respectful behavior when interacting with Boardy and other users within the network. Boardy aims to provide a positive environment for meaningful connections. Inappropriate conduct includes, but is not limited to:

• Using offensive, discriminatory, or inflammatory language.
• Engaging in hostile or aggressive communication.
• Making inappropriate personal remarks or threats.
• Deliberately attempting to manipulate or misuse the AI system.
• Any form of harassment or bullying.

Violation of these conduct guidelines may result in restriction or removal from the Boardy network, at Boardy's sole discretion. Boardy reserves the right to take appropriate action to maintain service quality for all users.

AI Phone Call and Service Activation

The AI phone call with Boardy is a required step to activate your account and join the matching pool. During this call, Boardy will learn more about you and your preferences. You are responsible for any charges or fees from your phone service provider associated with the call. During this call, any information you share that is publicly available (e.g., LinkedIn profile, job title) will be used to generate your profile and facilitate personalized introductions. Personal information beyond what is publicly available will not be shared unless a double opt-in is provided by both parties.

Verbal Communications and Agreements

Any communications with Boardy, including phone calls, message threads, emails, or other interactions, cannot create binding agreements, contracts, or legal obligations beyond these Terms of Service. Users cannot enter into:

• Non-disclosure agreements
• Non-competition agreements
• Verbal contracts
• Legal settlements
• Any other binding agreements

Any attempt to create such agreements during AI interactions is non-binding and void. Only written agreements explicitly authorized by Boardy's legal team (contact: legal@boardy.ai) are valid and enforceable. Users may not claim or represent that they have entered into any agreement with Boardy through AI interactions.

Privacy and Data Protection

Boardy implements strict data protection measures:

• Contact information sharing with matches: Email addresses and phone numbers are only shared between users after both parties have explicitly opted in to connect with each other.
• Communication method selection: When both parties have opted in to meet, email addresses are shared when users have an open email thread for communication, and phone numbers are shared when users have an open WhatsApp thread, enabling them to contact their match via WhatsApp.
• LinkedIn profile information: Used to facilitate meaningful introductions and is shared with potential matches.
• Data protection: All user data is protected and handled in accordance with Boardy's Privacy Policy.
• Advertising platforms: Contact information may be shared with social media advertising platforms in hashed formats for advertising purposes.

Internal Data Access and Usage

The Boardy team has access to and monitors:

• User conversations with Boardy
• Email communications
• LinkedIn messages with Boardy
• User behavioral data

This access is strictly for the purposes of:

• Monitoring and preventing platform abuse
• Improving the product experience
• Resolving user issues and concerns
• Ensuring service quality and safety

While Boardy team members can access individual user data for the above purposes, we maintain strict data handling protocols:

• Specific user information is never exported or used for purposes other than those listed above.
• User data is only accessed when necessary for service operation and improvement.
• Anonymous and aggregated data may be used for product analytics and service enhancement.
• All team members are bound by confidentiality requirements regarding user data.

Third-Party AI Processing

To provide our services, Boardy uses industry-leading artificial intelligence providers. By using the Service, you acknowledge and agree that your communications and interactions with Boardy may be processed by third-party AI services including OpenAI, Anthropic, and other AI technology providers. Information processed by these services may include:

• Content of your conversations with Boardy
• Profile information you provide
• Public information from your LinkedIn profile
• Call transcripts and recordings

These third-party providers:

• Process data according to their own privacy policies and security standards.
• May retain processed data in accordance with their terms of service.
• Are bound by industry-standard confidentiality and security requirements.

We select providers based on their security practices and reliability, and we regularly review their compliance with applicable data protection standards. You can request more information about our AI data processing practices by contacting us at privacy@boardy.ai.

Third-Party Advertising Platforms

In addition to AI processing services, Boardy also shares data with advertising platforms including Meta for marketing and user acquisition purposes. By using the Service, you acknowledge that:

• Your contact information may be shared in hashed formats with advertising platforms.
• These platforms may use your information to deliver targeted advertisements.
• Advertising platforms operate under their own privacy policies and terms of service.
• You can opt out of targeted advertising through platform-specific settings or by contacting us.

Service Operation and Matching Process

By using the Service, you understand and agree that:

• Your public LinkedIn profile information will be visible to potential matches.
• You will be added to Boardy's matching pool after accepting an AI call.
• Matches will be able to view your LinkedIn profile information before deciding to connect.
• Contact information sharing: Your email address and/or phone number will only be shared with another user after both parties have explicitly opted in to connect with each other.
• Email addresses are provided when you have an open email thread.
• Phone numbers are provided when you have an open WhatsApp thread to enable WhatsApp communication.

Safety and Well-being Measures

Boardy takes the safety and well-being of its users seriously. While the platform focuses on making introductions and building connections, it is not designed for nor should be used as a substitute for professional advice, including mental health or legal services. We urge users to seek assistance from licensed professionals when needed. If at any time you feel that the conversation with Boardy or another user is inappropriate or raises concerns, we encourage you to discontinue the conversation and contact our support team for assistance.

Partner Network

Boardy collaborates with partner organizations to expand the introduction pool. Users who opt in through partner networks agree to have their profiles included in both the partner network and Boardy's global network for potential introductions.

Feedback

Boardy values user feedback to improve its services. By providing feedback, you grant Boardy a worldwide, royalty-free, perpetual, irrevocable license to use, modify, and incorporate your feedback into our services without restriction.

Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Boardy and its licensors. You agree not to copy, modify, or distribute any part of the Service without prior written consent.

Payment and Fees

While Boardy is currently free to use, you are responsible for any charges from your phone service provider related to calls with Boardy. Boardy is not responsible for any carrier fees, data charges, or other costs associated with using your phone service to interact with Boardy. If Boardy introduces any service fees in the future, users will be notified in advance, and continued use of the service after the notification period will indicate acceptance of the new fee structure.

Limitation of Liability

Boardy is not liable for any outcomes resulting from introductions or interactions facilitated by the service. Users agree that the connections facilitated by Boardy are done on an "as-is" basis, and Boardy does not guarantee success, financial outcomes, or any particular results from the use of the service.

To the maximum extent permitted by law, Boardy shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of its services.

"AS IS" and "AS AVAILABLE" Disclaimer

Boardy's services are provided on an "AS IS" and "AS AVAILABLE" basis. We make no warranties, either expressed or implied, about the operation of the service, its availability, or its ability to meet your expectations.

Governing Law

These Terms are governed by the laws of the State of Delaware, United States, except where GDPR or other EU data protection laws apply. Any disputes arising under these Terms will be subject to the jurisdiction of Delaware courts, except for data protection matters which may be subject to EU jurisdiction.

Changes to the Terms

Boardy may update these Terms from time to time. Any material changes will be communicated to users via email or platform notifications at least 30 days before they take effect. For changes affecting data processing under GDPR, we may require renewed consent where legally required. Continued use of the service after changes have been made will constitute acceptance of the revised Terms.
